WHOLESALE TERMS OF SERVICE

These Terms of Service (the "Terms") govern registration for and use of the Ice Makers JA wholesale buyer program and portal (the "Portal"), and all wholesale purchases from IceMakers Limited (the "Company", "we", "us"). By checking the acceptance box at registration, or by accessing the wholesale catalog, you (the "Buyer") agree to be bound by these Terms on behalf of yourself and the business you represent. If you do not agree, do not register or use the Portal.

1. Trade accounts & eligibility

1. The Portal and wholesale pricing are offered to bona fide business buyers only — bars, shops, vendors, resellers and event operators. It is not a consumer retail service.
2. You warrant that all registration information is accurate, that you are at least 18 years old, that you are authorised to bind the business you register, that the business is a bona fide business duly registered to operate in Jamaica and holds a valid Taxpayer Registration Number (TRN), and that the business holds all licences required for its activities, including any spirit licence or permit required to sell or serve alcohol. We may require proof of your TRN, business registration or licences at any time, and may refuse or suspend supply until it is provided.
3. We may refuse, suspend or terminate any account at any time, at our sole discretion, with or without notice or reason.

2. Pricing & availability

1. All prices may change at any time without notice. Prices shown in the Portal are indicative trade prices at the moment of viewing; the price payable is the Company's prevailing price at the time your order is confirmed by us.
2. Inventory shown in the Portal is indicative and not a guarantee of availability. Stock levels change continuously and may be inaccurate at any given moment.
3. Obvious pricing or listing errors (including system errors) do not bind the Company, and we may cancel any order request or confirmation arising from such an error.

3. Order requests are not binding until confirmed

1. An "intent to order" or "order request" submitted through the Portal is an invitation to do business, not a contract. No contract of sale exists until we expressly confirm the order (and we may modify quantities before confirming, with your agreement, or decline the request entirely).
2. Confirmed orders are subject to payment in full — cash, card or bank transfer as agreed — before or upon collection/delivery unless we have agreed credit or consignment terms with you in writing.
3. Preferred dates are requests only; fulfilment schedules are subject to our confirmation and capacity.

4. Confidentiality of catalog & pricing

1. The wholesale catalog, including product availability, unit and case pricing, and any price lists or quotations we provide, is the Company's confidential business information.
2. You must not share, publish, screenshot-distribute, or otherwise disclose the catalog or our wholesale pricing to any third party without our prior written consent. Your account credentials are for your business only and must not be shared.
3. Breach of this section may result in immediate account termination and any remedies available to us at law.

5. Responsible resale of alcohol & tobacco — Buyer's sole responsibility

1. Products are sold to you for lawful resale or lawful business use only. Once products are collected by or delivered to you, all responsibility for their storage, handling, resale, service and consumption passes entirely to you.
2. You are solely responsible for complying with all applicable laws, including the sale and service of alcohol and tobacco. Without limitation, you agree that you (not the Company) are solely responsible for ensuring that no alcohol or tobacco is sold, served or supplied to any person under the legal age (18 in Jamaica), and for verifying age where required.
3. The Company is not responsible or liable for the acts or omissions of your customers or any third parties, including — without limitation — intoxication, impaired driving, injury, death, property damage, or any other consequence connected to the consumption of products after they leave our custody. You serve and your customers consume at your and their own risk.
4. You agree not to resell products in any manner that is unlawful, and to withdraw from sale any product we notify you has been recalled.

6. Delivery, collection & risk

1. Risk in the products passes to you on collection at our premises or, for deliveries, on arrival at your stated address. Title passes on payment in full.
2. You must inspect goods on receipt; claims for shortages or damaged goods must be raised before the driver leaves or, at the latest, within 24 hours with photographic evidence. Otherwise goods are deemed accepted.
3. Except where we have agreed otherwise in writing, no returns are accepted on tobacco products or ice, and other returns are at our discretion in unopened, saleable condition.

7. Disclaimer & limitation of liability

1. The Portal and catalog are provided "as is" and "as available", without warranties of any kind, express or implied, including accuracy of stock counts, uninterrupted availability, or fitness for a particular purpose.
2. To the fullest extent permitted by the laws of Jamaica, the Company shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business or data, arising out of or connected to the Portal, these Terms, or any products supplied.
3. To the fullest extent permitted by law, the Company's total aggregate liability for any claim arising from a supply of products shall not exceed the amount actually paid by you for the specific order giving rise to the claim.
4. Nothing in these Terms excludes liability that cannot lawfully be excluded.

8. Indemnity

You agree to indemnify, defend and hold harmless the Company, its directors, employees and agents from and against all claims, demands, liabilities, damages, losses, fines and expenses (including reasonable attorneys' fees) arising out of or connected to: (a) your breach of these Terms; (b) your resale, service or supply of any products, including any sale or service to minors or to intoxicated persons; (c) the acts or omissions of your customers or patrons; or (d) your violation of any law or the rights of any third party.

9. Accounts, data & communications

1. You are responsible for safeguarding your login credentials and for all activity under your account.
2. We may send you transactional communications (order confirmations, decisions, service notices) at the contact details you register.
3. We may suspend the Portal for maintenance or modify its features at any time.

10. Changes to these Terms

We may update these Terms from time to time. The current version will always be available at this page with its effective date. Continued use of the Portal after an update constitutes acceptance of the updated Terms; material changes may require re-acceptance at sign-in.

11. General

1. These Terms are governed by the laws of Jamaica, and the courts of Jamaica have exclusive jurisdiction over any dispute.
2. If any provision is found unenforceable, the remainder continues in full force. Our failure to enforce any provision is not a waiver of it.
3. These Terms, together with any written credit or consignment agreement between us, are the entire agreement between you and the Company concerning wholesale purchasing.
